TERMS OF SERVICE

Welcome to BeautyCall Pro. This Terms of Service agreement ("Agreement") is a legally binding contract between BeautyCall, LLC, a South Carolina limited liability company doing business as BeautyCall Pro ("Company," "we," "us," or "our"), and the individual or business entity accessing or using our Website-as-a-Service (WaaS) platform ("User," "you," or "your").
By creating an account, subscribing to a plan, or utilizing our services, you agree to be bound by this Agreement. If you are entering into this Agreement on behalf of a salon, business, or other legal entity, you represent that you have the authority to bind such entity.
1. THE SERVICES & ACCOUNT TIERS
BeautyCall Pro provides automated website hosting, design templates, and business workflow tools tailored for beauty industry professionals. We offer both Self-Managed ("Do-It-Yourself" or "DIY") tiers and Fully-Managed ("Done-For-You" or "DFY") tiers. The specific features, storage limits, and support included in your service are governed by the plan you selected at checkout.
2. FEES, BILLING, RENEWAL & CANCELLATION
2.1. Payment Processor. All financial transactions are processed securely through our third-party payment gateway, Stripe. By subscribing, you authorize us to charge your payment method on file automatically on a recurring monthly or annual basis.
2.2. Non-Refundable Fees. Due to the digital, service-based nature of our WaaS platform (including upfront allocation of server resources, template licensing, and manual setup configurations), ALL FEES ARE STRICTLY NON-REFUNDABLE ONCE BILLED. We do not provide prorated refunds or credits for partial months, unused features, or early cancellations. You may cancel at any time before your next billing date to avoid the upcoming charge (see Section 2.4). Fees already billed for the current term remain non-refundable as described above.
2.3 Automatic Renewal & Continuous Service. Your subscription is a continuous service that AUTOMATICALLY RENEWS at the end of each billing term (monthly or annual, as selected at checkout) for a new term of the same length, UNTIL YOU CANCEL. At each renewal we will charge the payment method on file the then-current rate for your plan at the billing interval you selected, unless you cancel before the renewal date. You affirmatively consented to these automatic renewal terms at checkout. If you enrolled at a promotional or introductory rate, your subscription will renew at the standard rate for your plan once the promotional period ends, and we will notify you by email in advance of that change.
2.4 How to Cancel. You may cancel your subscription at any time, easily and without penalty, directly from your account portal or by emailing hello@beautycallpro.com. Cancellation stops all future renewals. To avoid being charged for the next billing term, cancel before your renewal date. We do not impose retention steps, scripts, or obstacles to cancellation; if you signed up online, you may cancel online or by email.
2.5 Price & Material Term Changes. We may change subscription pricing or other material terms of your plan. If we do, we will provide advance notice by email before the change takes effect, along with instructions for cancelling if you do not agree. Continued use of the Services after the effective date constitutes acceptance of the change.
3. FAILED PAYMENTS, SUSPENSION, & DATA LIFESPAN
3.1. Dunning & Retry Schedule. If a recurring subscription charge fails, our system will automatically attempt to re-bill the payment method on file four (4) times within a seven (7) calendar day period from the original due date.
3.2. Deactivation. If payment is not successfully cleared by the end of this 7-day retry period, your account will be suspended, and your hosted website will automatically be taken offline.
3.3. Data Deletion Timeline (Clean Cancellation). Upon formal account cancellation or permanent non-payment termination, the Company reserves the right to permanently delete all user data, custom website configurations, images, and portal logs thirty (30) days after the final active billing cycle ends. Notwithstanding the foregoing, the Company may retain certain records, including billing history and transaction records, for as long as necessary to comply with tax, accounting, audit, or other legal obligations, after which they will be deleted in the ordinary course. The Company assumes zero liability for any loss of data, loss of business, or operational disruption resulting from post-termination deletion.
4. THE "BUSINESS PAUSE" & ARCHIVING SERVICE In lieu of permanent data deletion under Section 3.3, users facing temporary business slow-downs may explicitly request to pivot to our "Business Pause / Archive Tier."
4.1. Under this tier, the User agrees to pay a reduced, non-refundable maintenance fee.
4.2. In exchange, the public-facing website will be taken offline, but the Company will preserve the website layout, database states, and historical form data on its servers.
4.3. The user may reactivate full service at any time, subject to our current subscription rates. While archived, data is subject to the same security/liability caps as active accounts.
5. USER-GENERATED CONTENT & INTELLECTUAL PROPERTY
5.1. Your Content. You retain full intellectual property ownership over all text, branding, portfolio images, and logos you upload to your hosted site. You grant BeautyCall, LLC a worldwide, non-exclusive, royalty-free license to host, cache, display, and distribute your content solely to fulfill our services to you.
5.2. Our Framework. The platform architecture, underlying software configurations, proprietary design flows, hosting infrastructure, and system templates are the exclusive property of BeautyCall, LLC or its licensors. You may not copy, reverse-engineer, or attempt to duplicate our proprietary layout ecosystems outside of the platform environment.
5.3.
Proprietary Platform Restrictions. The BeautyCall Pro platform operates within an entirely proprietary, custom-managed server environment. Hosted websites rely on native, interconnected system features—including but not limited to automated booking software synchronization, live backend forms, native AI-driven text portals, and automated local search engine optimization (SEO) metadata structures. Because these components are tied strictly to our server network infrastructure, sites built on BeautyCall Pro cannot be natively transferred, migrated, or hosted on standard third-party commercial web hosts.
5.4. Proprietary Asset Release Options. While the platform design, framework, and layout schema remain our sole intellectual property, you retain full copyright over your unique logos, custom text copy, and uploaded business imagery as described in Section 5.1. If you wish to terminate your monthly subscription but require access to the underlying design files to recreate your web presence elsewhere, you may request a compiled Proprietary Asset Release under the following paths:
(a) Early Asset Release (Months 1–18): You may request a flat, static code compilation export (consisting of raw HTML/CSS sheets and structural media directories) at any time prior to your eighteenth (18th) consecutive month of continuous service by executing a one-time, non-refundable Proprietary Release Fee of $1,500.
(b) Vested Asset Release (Post-Month 18): Upon the completion of eighteen (18) consecutive, uninterrupted monthly subscription payments, full creative execution rights over your site's unique aesthetic framework fully vest to you. Following this threshold, you may request the static code export compilation folder at zero additional asset cost, subject only to a standard $150 administrative file compilation and delivery fee.
(c) Structural Limitations: You explicitly acknowledge that a Proprietary Asset Release delivers flat, static digital code files. Dynamic features, automated booking webhooks, AI writing integrations, live operational forms, and managed local SEO scripts are proprietary server utilities that will immediately cease functioning upon the termination of hosting on our servers.
5.5 Processing of End-Consumer Data. Certain features of your hosted website, such as contact and inquiry forms, collect personal information from your own visitors and clients ("End-Consumer Data"). With respect to End-Consumer Data, you act as the data controller and the Company acts solely as your service provider and data processor. The Company will: (a) process End-Consumer Data only to provide and maintain the Services and on your instructions; (b) not sell, share, or use End-Consumer Data for its own purposes, including marketing or advertising; (c) apply reasonable security measures to protect it; and (d) on your request, or upon termination as described in Section 3.3, delete or return End-Consumer Data, subject to any retention required by law. You are responsible for providing any privacy notices to, and obtaining any consents from, your own visitors and clients as required by applicable law.
6. ARTIFICIAL INTELLIGENCE & SEO DISCLAIMERS
6.1. AI-Generated Tools. Certain DIY tiers may provide access to third-party artificial intelligence content generation features. The Company provides these tools "As-Is." We make no representations or warranties regarding the originality, factual accuracy, legal copyright status, or search-engine friendliness of any text or assets generated by platform AI. You are solely responsible for reviewing and vetting any AI outputs before publication.
6.2.
SEO Outcomes. For users subscribed to our DFY or SEO optimization packages, the Company utilizes industry-standard practices to improve local search visibility. However, search engine algorithms (including Google) are entirely proprietary, dynamic, and subject to change without notice. The Company explicitly disclaims any guarantee of specific search ranking positions, monthly traffic numbers, or business revenue increases.
7. THIRD-PARTY INTEGRATIONS & AFFILIATE/RESELLER DISCLOSURE
7.1. Integrations. Our platform allows connection to third-party providers (e.g., MailChimp, ActiveCampaign, external booking widgets). The Company does not control, secure, or maintain these external platforms. We are not liable for data transmission drops, API breakages, or data breaches occurring on external servers.
7.2. Domain Registrations & Disclosures. BeautyCall Pro maps custom domain names owned and purchased by the User. The User is entirely responsible for the purchase, renewal, and maintenance of their custom domain.
7.3. Affiliate Connection. Pursuant to Federal Trade Commission (FTC) guidelines, please be advised that the Company acts as an affiliate and/or reseller for third-party registrars (such as Dynadot). We may receive financial commissions, referral fees, or reseller margins if you purchase domains or services through links or white-labeled portals provided within our onboarding pipeline. The Company is not responsible for domain registry disputes, registration errors, or unexpected renewal pricing changes instituted by third-party registrars.
8. LIMITATION OF LIABILITY & GOVERNING LAW
8.1. Disclaimer. THE SERVICE IS PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY LAW, BEAUTYCALL, LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED.
8.2. Liability Cap. IN NO EVENT SHALL BEAUTYCALL, LLC, ITS DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES WHATSOEVER. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF THIS AGREEMENT SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO THE COMPANY IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
8.3. Governing Law. This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of South Carolina, without regard to conflict of law principles. Any legal action arising hereunder must be brought exclusively in the state or federal courts located in South Carolina.
